These Terms and Conditions apply to purchases made through the HEYA Collective Oy online store at www.heya.fi.

By placing an order through our online store, you agree to these Terms and Conditions. Please read them carefully before completing your purchase.

Nothing in these Terms and Conditions limits any rights granted to consumers under mandatory Finnish or European Union consumer protection legislation.

HEYA Collective Oy is registered in Finland.

In these Terms and Conditions, “HEYA”, “we”, “us” and “our” refer to HEYA Collective Oy. “Customer”, “you” and “your” refer to the person placing an order through our online store.

2. SCOPE OF THESE TERMS

These Terms and Conditions apply to orders placed by consumers through the HEYA online store.

Separate terms may apply to wholesale purchases, business customers, collaborations or other business-to-business transactions.

Our Privacy Policy, Shipping Policy and Returns and Refunds Policy form part of these Terms and Conditions where applicable.

3. ELIGIBILITY TO PLACE AN ORDER

You must be at least 18 years old or otherwise legally capable of entering into a binding agreement to place an order.

Customers under the age of 18 may place an order only with the permission of a parent or legal guardian.

You are responsible for ensuring that the information you provide when placing an order is complete, accurate and up to date.

4. PRODUCTS AND PRODUCT INFORMATION

We make every reasonable effort to describe and display our products accurately.

Product descriptions may include information about:

Fabric composition

Measurements

Colour

Opacity

Stretch

Texture

Care instructions

Included accessories

Other relevant product characteristics

Because textiles may be cut, sewn and finished individually, minor variations in measurements, stitching, weave, texture or finish may occur. These natural production variations do not necessarily constitute a product defect.

Product measurements are approximate unless expressly stated otherwise.

Colours

We make every effort to represent product colours as accurately as possible. However, colours may appear differently depending on your device, screen settings, display resolution, lighting conditions and the natural characteristics of the fabric.

Minor colour variations may also occur between separate production batches.

Such minor variations do not constitute a defect where the product otherwise materially corresponds to its description.

Fabric characteristics

Natural creasing, packing marks, weave variations and changes in appearance caused by folding may occur in textile products.

These characteristics can often be reduced by following the care, steaming or ironing instructions provided with the product.

Customers must follow the care instructions shown on the product label or product page. HEYA is not responsible for damage caused by washing, drying, ironing, storing or handling a product contrary to those instructions.

This does not affect HEYA’s statutory responsibility for defects that existed when the product was delivered.

5. PRODUCT AVAILABILITY

All orders are subject to product availability.

Placing a product in your shopping bag does not reserve it. A product may become unavailable before checkout is completed.

In the unlikely event that a product becomes unavailable after you place an order, we will contact you and refund the amount paid for the unavailable product.

We may limit the number of products that may be purchased in a single order where reasonably necessary, including to prevent suspected resale, fraud, misuse or inventory errors.

6. PRICES

All prices are shown in the currency selected or displayed in the online store.

Prices shown to consumers within the European Union include applicable value-added tax unless clearly stated otherwise.

Delivery charges and any other applicable costs will be displayed before you submit your order.

For orders delivered outside the European Union, the customer may be responsible for customs duties, import taxes, handling fees or other local charges imposed by the destination country. These charges are not controlled by HEYA unless expressly included at checkout.

We may change our prices at any time. A price change will not affect an order that has already been accepted by HEYA.

If an obvious pricing or technical error appears on the website, we may correct the error. Where an order has already been placed, we will contact you before processing it. You may choose to proceed at the correct price or cancel the affected order for a full refund.

7. PROMOTIONS AND DISCOUNT CODES

Discount codes and promotional offers are subject to the conditions communicated with the relevant offer.

Unless otherwise stated:

Only one discount code may be used per order

Discount codes cannot be exchanged for cash

Discount codes cannot be applied after an order has been completed

Discount codes cannot be combined with another promotion

Discount codes may exclude selected products, bundles, gift cards or sale items

Promotions are valid only during the stated promotional period

We may refuse or cancel the use of a discount code where there is reasonable evidence of misuse, fraud, duplication, a technical error or a breach of the promotional terms.

Any cancellation will be handled in accordance with applicable consumer law.

8. PLACING AN ORDER

Before placing your order, you will have an opportunity to review and correct the contents of your shopping bag, delivery information and payment details.

You are responsible for checking that your order and delivery information are correct before submitting it.

By selecting the final order button, you submit an order with an obligation to pay.

After placing an order, you will receive an automated order acknowledgement by email. This confirms that we have received your order but does not necessarily mean that the order has been accepted.

A binding purchase agreement is formed when we send you an order confirmation or otherwise confirm that the order has been accepted for processing.

Please contact us promptly if you do not receive an order acknowledgement or confirmation.

9. OUR RIGHT TO REFUSE OR CANCEL AN ORDER

We may refuse or cancel an order where there is a legitimate reason to do so, including where:

The product is unavailable

The payment cannot be authorised

The delivery information is incomplete or clearly incorrect

The order contains an obvious pricing or product-information error

We reasonably suspect fraud, unauthorised payment or unlawful activity

The customer has materially breached these Terms and Conditions

Delivery to the stated destination is unavailable

The quantity ordered reasonably indicates unauthorised commercial resale

If we cancel an order after payment has been taken, we will refund the relevant amount using the original payment method.

We will not cancel an accepted consumer order merely because the product later becomes more expensive.

10. CHANGES AND CANCELLATIONS BEFORE DISPATCH

We begin processing orders promptly. For this reason, we cannot guarantee that an order can be changed or cancelled after it has been placed.

Please contact us as soon as possible at info@heya.fi and include your order number.

Where cancellation before dispatch is no longer possible, eligible consumers may still exercise their statutory right of withdrawal in accordance with Section 15 and our Returns and Refunds Policy.

The statutory right of withdrawal may also be exercised before the goods are delivered.

11. PAYMENT

Available payment methods are displayed during checkout and may vary depending on the customer’s location.

Payments are processed by third-party payment service providers. HEYA does not directly store complete payment card information.

The total amount payable, including applicable taxes and delivery costs, will be shown before the order is submitted.

Payment may be taken when the order is placed or in accordance with the terms of the selected payment provider.

Where a customer selects an invoice, instalment or other credit-based payment method, the payment provider’s separate terms and credit assessment may apply.

HEYA is not responsible for a payment provider’s decision to approve or reject a credit application. Nothing in these Terms limits any responsibility HEYA may have under mandatory consumer credit legislation.

12. DELIVERY

Available delivery methods, delivery charges and estimated delivery times are displayed at checkout.

Orders are delivered to the address, collection point or parcel locker selected or provided by the customer.

Estimated delivery times begin after the order has been dispatched unless otherwise stated. Delivery estimates are not guaranteed delivery dates.

HEYA will deliver orders without undue delay and within the period agreed with the customer. Where no specific delivery period has been agreed, delivery will take place within the period required by applicable consumer law.

We will inform you if we become aware of a material delay.

Incorrect delivery information

The customer is responsible for entering complete and accurate delivery information.

Please contact us immediately if you notice an error. We cannot guarantee that an address can be changed after an order has entered processing or has been transferred to the carrier.

Where a parcel is returned because the customer supplied incorrect or incomplete information, HEYA may charge the customer reasonable direct costs caused by resending or returning the parcel, where permitted by law.

Transfer of risk

For consumer orders, the risk of accidental loss or damage generally transfers to the customer when the customer, or a third party designated by the customer other than the carrier, physically receives the goods.

If the customer independently arranges a carrier not offered by HEYA, different rules may apply under applicable law.

13. UNCOLLECTED OR REFUSED PARCELS

The customer is responsible for collecting a parcel within the collection period specified by the carrier.

Failure to collect a parcel does not, by itself, constitute a valid notice of withdrawal.

If an uncollected or refused parcel is returned to HEYA, we will contact the customer or process the return in accordance with applicable law and our Returns and Refunds Policy.

We may deduct reasonable and documented direct costs caused by an uncollected parcel from any amount otherwise refundable, where permitted by law. This does not limit the customer’s mandatory consumer rights.

14. CUSTOMS, DUTIES AND INTERNATIONAL ORDERS

Orders delivered outside the European Union may be subject to customs duties, import taxes, handling fees and local administrative charges.

Unless expressly stated at checkout, these charges are not included in the product price or delivery charge and must be paid by the customer.

The customer is responsible for complying with the import requirements of the destination country.

HEYA is not responsible for customs delays or charges imposed by public authorities. This does not exclude responsibility for matters that are legally within HEYA’s control.

15. RIGHT OF WITHDRAWAL

Consumers purchasing eligible products online generally have the right to withdraw from the purchase without giving a reason.

The withdrawal period is 14 days from the day on which you, or a third party designated by you other than the carrier, receives the goods.

Where an order contains several products delivered separately, the period generally begins when the final product is received.

You may also notify us of your withdrawal before the goods have been delivered.

To exercise your right of withdrawal, you must clearly inform HEYA of your decision within the 14-day period.

Using a particular form is not mandatory, provided that your notice clearly communicates your decision to withdraw.

When a withdrawal is submitted electronically through our website, we will provide an acknowledgement of receipt by email or another durable medium without undue delay.

Further instructions are provided in our Returns and Refunds Policy.

16. RETURNING PRODUCTS AFTER WITHDRAWAL

After notifying us of your withdrawal, you must return the products without undue delay and no later than 14 days after submitting your notice.

Unless HEYA has agreed to cover the return cost or the product is faulty, the customer is responsible for the direct cost of returning the products.

We recommend using a tracked delivery method and retaining proof of postage.

The customer is responsible for the returned products until they are delivered to HEYA, except where mandatory law provides otherwise.

The return address and return instructions will be provided in our Returns and Refunds Policy or as part of the return process.

Products must not be sent to an unrelated address, carrier office or business address unless HEYA has instructed the customer to use that address.

17. CONDITION OF RETURNED PRODUCTS

During the withdrawal period, you may examine a product only to the extent reasonably necessary to establish its nature, characteristics and functioning, similarly to how you could inspect it in a physical store.

You may be responsible for a reduction in the product’s value if it has been handled beyond what is reasonably necessary for this purpose.

Returned products should therefore be:

Unworn, except for reasonable inspection

Clean

Free from makeup, perfume, deodorant, hair, stains and other signs of use

Returned with their original labels, where removing the labels was not necessary to inspect the product

Returned with all pieces belonging to the product

Securely packaged to prevent damage in transit

The absence or damage of original packaging does not automatically remove the statutory right of withdrawal. However, the customer may be responsible for any actual reduction in value caused by unnecessary handling or inadequate return packaging.

Products sold as sets, bundles or multipacks must normally be returned together where they form one product or were sold for one combined price.

18. REFUNDS FOLLOWING WITHDRAWAL

Where you validly withdraw from a purchase, we will refund the payments received for the products you return.

If you return your entire order under your statutory right of withdrawal, we will also refund the cost of the least expensive standard delivery method offered for that order.

If you chose a more expensive delivery method, such as express delivery, we will only refund an amount equal to the cost of our least expensive standard delivery option.

If you return only part of your order, the original delivery charge will not be refunded.

Unless the product is faulty, incorrect, or HEYA has agreed otherwise, you are responsible for the cost of returning the products to us.

Refunds will be made without undue delay and no later than 14 days after we receive your notice of withdrawal. However, we may withhold the refund until we have received the returned products or you have provided reliable proof that they have been sent back, whichever occurs first.

Refunds will be made using the same payment method used for the original transaction unless you expressly agree otherwise. You will not be charged a fee for receiving the refund.

We may deduct an amount corresponding to any actual reduction in the value of the product if it has been handled beyond what was reasonably necessary to inspect its nature, characteristics and functioning.

19. FAULTY, DAMAGED OR INCORRECT PRODUCTS

HEYA is responsible for ensuring that products comply with the purchase agreement and applicable consumer protection law.

A product may be considered faulty if, for example, it:

Does not correspond to the agreed description

Is materially different from the product ordered

Is damaged when responsibility for the damage rests with HEYA

Is not fit for its ordinary purpose

Does not possess the quality or durability a consumer may reasonably expect

Is missing a component that was included in the order

Normal wear, accidental damage, misuse, incorrect washing, failure to follow care instructions or natural textile characteristics do not generally constitute a product defect.

Please inspect your order after delivery and contact us within a reasonable time after discovering a problem.

A complaint may be made by emailing info@heya.fi and including:

The order number

A description of the issue

Clear photographs where reasonably relevant

Any other information needed to assess the complaint

Depending on the circumstances and applicable law, the available remedy may include repair, replacement, price reduction, refund or cancellation of the affected purchase.

HEYA will bear reasonable return costs where a product must be returned because it is faulty, damaged due to a matter for which HEYA is responsible, or incorrect.

The statutory rights relating to faulty products are separate from the 14-day right of withdrawal.

20. GIFT CARDS

Where HEYA offers gift cards, additional conditions displayed on the gift card product page may apply.

Unless otherwise required by law:

Gift cards cannot be exchanged for cash

Gift cards may be used only in the currency and store for which they were issued

Gift cards cannot be used to purchase another gift card

The customer is responsible for keeping the gift card code secure

Any validity period will be communicated clearly before purchase.

Nothing in this section limits rights granted under applicable law.

21. WEBSITE AVAILABILITY

We aim to keep the online store available and functioning correctly. However, uninterrupted or error-free access cannot be guaranteed.

We may temporarily restrict or suspend access for maintenance, security, technical updates or circumstances beyond our reasonable control.

We will take reasonable steps to correct material errors and minimise disruption.

Temporary unavailability of the website does not affect rights arising from an order that has already been accepted.

22. ACCEPTABLE USE OF THE WEBSITE

You may use the HEYA website only for lawful personal or commercial browsing and purchasing purposes.

You must not:

Use the website for unlawful or fraudulent purposes

Attempt to gain unauthorised access to the website or related systems

Introduce viruses, malware or harmful code

Interfere with the website’s security or operation

Scrape, extract or reproduce website content through automated means without permission

Submit deliberately false or misleading information

Infringe the intellectual property or privacy rights of HEYA or another party

Use the website in a way that harms, threatens, harasses or deceives another person

We may restrict access where we reasonably believe these terms have been breached.

23. INTELLECTUAL PROPERTY

Unless otherwise stated, the HEYA website and its contents are owned by or licensed to HEYA Collective Oy.

This includes, without limitation:

The HEYA name and branding

Logos

Product photography

Graphics

Website design

Product descriptions

Written content

Videos

Illustrations

Packaging designs

Other original materials

You may view and use the website for your personal, non-commercial use.

You may not copy, reproduce, modify, distribute, publish, sell, license or commercially exploit HEYA content without prior written permission, except where permitted by law.

References to third-party brands, services or intellectual property remain the property of their respective owners.

24. CUSTOMER CONTENT AND REVIEWS

Where customers are able to submit reviews, photographs, comments or other content, the submitted content must be lawful, accurate and based on a genuine experience.

The customer must not submit content that:

Infringes another person’s rights

Contains unlawful, abusive or discriminatory material

Contains malicious code or misleading advertising

Reveals another person’s personal information without permission

Is fabricated or submitted in exchange for an undisclosed benefit

The customer retains ownership of their original content.

By submitting content for publication, the customer grants HEYA a non-exclusive, royalty-free licence to display, reproduce and use that content for operating and marketing HEYA, subject to applicable law and any permissions communicated when the content is submitted.

We may moderate or remove content for a legitimate reason, but we will not misleadingly alter the meaning of a genuine customer review.

Any incentivised review will be identified as required by applicable law.

25. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to, or integrate services provided by, third parties such as payment providers, delivery carriers, review platforms or social media services.

Third-party services may be governed by their own terms and privacy policies.

HEYA is not responsible for the independent content or operation of a third-party website merely because it is linked from our website.

This does not limit any responsibility HEYA has for third-party services that form part of HEYA’s contractual obligations to the customer.

26. PRIVACY AND PERSONAL DATA

HEYA processes personal data in accordance with applicable data protection legislation and our Privacy Policy.

Our Privacy Policy explains how we collect, use, retain and protect personal data, as well as the rights available to individuals.

Payment providers, delivery carriers and other service providers may process personal data under their own privacy notices where they act independently.

27. LIMITATION OF LIABILITY

Nothing in these Terms and Conditions excludes or limits liability that cannot lawfully be excluded or limited.

In particular, these Terms do not limit:

Mandatory consumer rights

Liability for personal injury caused by negligence where exclusion is prohibited

Liability for fraud or fraudulent misrepresentation

Statutory responsibility for defective products

Any other liability that cannot be limited under applicable law

To the extent permitted by law, HEYA is not responsible for indirect or unforeseeable losses that are not a natural consequence of HEYA’s breach.

For consumer purchases, HEYA remains responsible for losses that are a foreseeable result of our breach of contract or failure to exercise reasonable care.

HEYA is not responsible for business losses arising from a consumer purchase, including loss of profit, revenue, opportunity or business interruption.

28. EVENTS BEYOND OUR REASONABLE CONTROL

HEYA will not be responsible for a delay or failure caused by circumstances beyond our reasonable control, such as major transport disruption, natural disasters, governmental action, widespread telecommunications failures, labour disruption or other comparable events.

This section does not remove any statutory right the customer may have to cancel an order or receive a refund where delivery cannot be completed within the agreed or legally required period.

39. CHANGES TO THESE TERMS

We may update these Terms and Conditions to reflect changes to our business, website, services or applicable law.

The version applicable to an order is normally the version in force when the order was placed.

Changes will not retrospectively reduce a customer’s rights under an existing purchase agreement.

The latest version will be published on our website together with the date of the most recent update.

30. SEVERABILITY

If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.

Any invalid provision will be interpreted or adjusted only to the minimum extent necessary to make it valid and enforceable, where legally permitted.

31. GOVERNING LAW

These Terms and Conditions and purchases made through the HEYA online store are governed by Finnish law.

If you are a consumer residing in another European Union or European Economic Area country, this choice of law does not deprive you of any mandatory consumer protection granted by the law of your country of residence.

32. COMPLAINTS AND DISPUTE RESOLUTION

We will make reasonable efforts to resolve complaints directly with the customer.

If a consumer residing in Finland cannot resolve the matter with HEYA, the consumer may contact the Finnish Consumer Advisory Services for guidance.

The consumer may also refer the dispute to the Finnish Consumer Disputes Board after first contacting the Consumer Advisory Services.

The Consumer Disputes Board provides recommendations and does not normally resolve disputes between two businesses.

A consumer may also bring proceedings before a competent court. Consumers may generally bring proceedings in the court of their place of residence where applicable law permits.
